Contract Negotiation and Administration – Liability, Indemnity and Other Contract Issues Not To Be Overlooked

This event will include presentation and discussion of negotiation and administration matters regarding some key contract issues applicable in the majority of mining and industrial contracts. 

As former legal counsel to global mining companies who now advise contractors and other supply chain companies, Derek Hoffman and Josh Lommer will provide an informed perspective regarding negotiation and administration of mining and industrial contracts.

Derek Hoffman is a senior business lawyer advising public and private entities in a range of industries including mining, energy, agriculture and technology. Derek has worked as both in-house and external legal counsel for global mining and resource companies advising on a broad range of matters including procurement, strategic transactions, and infrastructure financing and development.

Derek provides strategic advice including advising on commercial transactions, corporate reorganizations, finance, project development, Indigenous, contract negotiation and administration, transportation, and intellectual property matters.

Derek also engages in business as an executive and board director in a diverse field of industries including mining, energy, real estate and hospitality.  He has organized and presented for continuing education programs including professional development and entrepreneur mentorship programs at Osgoode Professional Development, the University of Saskatchewan and the Canadian Bar Association.


Josh Lommer is a senior legal and business executive with deep experience in real estate, infrastructure, mining, and complex commercial transactions across Canada and the United States. He is the Principal of Lommer Law Group and serves as General Counsel to Cedar Coast Capital Corporation, where he advises a vertically integrated real estate investment and development platform with assets approaching $1 billion under management.

Over his career, Josh has led and closed more than $1 billion in real estate transactions, supporting the development of millions of square feet of industrial space and thousands of residential units.  His experience also includes managing high-value litigation and claims, negotiating major construction and supply contracts, and supporting Indigenous engagement and regulatory compliance strategies on capital-intensive projects.  He is known for transforming legal functions into strategic business partners, including building scalable governance frameworks, standardizing complex commercial documentation, and materially reducing external legal spend while improving execution speed and risk management.

Josh holds an MBA, a Juris Doctor, and advanced certifications in procurement law and negotiation. He is a member in good standing of the Law Societies of British Columbia, Alberta, and Saskatchewan.
